Section 1
Applicability
The present general terms and conditions (GTC) apply to all contracts concluded between you and us, the Prequel Ventures Management GmbH (c/o Mindspace, Friedrichstraße 68, 10117 Berlin, HRB no. 252498 B, VAT-number DE350791084) represented by Mathias Bosse und Markus Börner through and about the use of this website, unless nothing else has been expressly agreed in writing. We do not accept deviating or conflicting conditions insofar as we have not expressly agreed to them in writing.
Section 2
Proof of Entrepreneur Status
The services offered on this website are to be provided exclusively for entrepreneurs within the meaning of section 14 BGB. We may therefore demand that you provide us with sufficient proof of your entrepreneurial status prior to conclusion of the contract, e.g. by stating your VAT ID number or other suitable proof. All required information must be provided completely and truthfully.
Section 3
Scope of Services
The website provides access to a startup database focused on supply chain management. Three account types are available:
Provides company data accessibility and enables startups to list their profile in the database.
Grants database access for users seeking to conduct supply chain business or form business contacts.
Free registration enabling the purchase of digital products on the platform.
Section 4
Startup Account; Database Registration; Data Processing
Startups may register their company data to express interest in service providers' offerings. Registration eliminates repeated data entry. You will not be obliged to buy any of the services offered by us only due to your registration. Users select usernames and passwords, which must remain confidential at all times.
Users may add new listings or claim existing ones. We reserve the right to approve or reject registrations and listings at our discretion.
Registrations and listings may be deleted at any time via "My account." Users bear full responsibility for keeping their information accurate and up to date.
The use of the registration is limited to its stated purposes. You agree not to use it for any unlawful or immoral purpose and not to compromise or spy on our database or website.
Creating a listing constitutes consent to publish the provided data on the website and to use your personal and company data in our paid reports and other digital products.
Section 5
Professional Account; Database Registration; Data Processing
Service providers and users seeking database access or wishing to conduct supply chain business may register for a fee-based Professional Account. Username and password confidentiality is required.
Accessible user data may only be used for the purpose of offering services as defined. Data may not be made accessible to third parties unless this is absolutely necessary to fulfil the stated purpose. Section 4.3 applies accordingly.
Section 6
Shopping Account; Registration; Data Processing
Customers interested solely in purchasing supply chain startup products may register free of charge. Username and password confidentiality requirements apply as set out in Section 4.
The provisions of Sections 4.2 and 4.3 apply to Shopping Account users accordingly.
Section 7
Contract Conclusion, Language, Pricing
The presentation of services on this website constitutes an invitation to place orders (invitatio ad offerendum) and is not a binding offer.
Clicking "Place order" submits a binding offer from your side. A contract comes into existence between you and us as soon as we accept your order and/or booking by means of a separate email or dispatch the goods.
All quoted prices are net prices.
Section 8
Technical Steps and Input Error Correction
The ordering process involves adding items to a shopping cart, proceeding to checkout, entering your data, selecting a payment method, and reviewing your order on an overview page. By clicking the confirmation button "Place order," your declaration becomes binding. You may correct input errors at any point prior to confirmation using standard browser and interface controls.
Section 9
Documentation of Agreement
Upon contract acceptance, the contractual provisions, order information, these GTC, and any applicable revocation information will be sent to you via email. We do not store the contractual provisions for you.
Section 10
Limitation of Liability
We are liable for intentional acts and gross negligence by our representatives and employees. In case of a negligent breach of essential contractual obligations, liability is limited to the foreseeable, contract-typical damage. In no event shall we be liable for the accuracy and completeness of data and information entered by users, or for the quality of services provided by users through the platform. Our liability for damages arising from injury to life, body or health remains unaffected by the above limitations.
Section 11
Miscellaneous
Amendments to these GTC require written form to be legally binding.
These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on the International Sale of Goods (CISG).
Venue of performance is Leipzig. The courts of Berlin shall have exclusive jurisdiction for all disputes arising from or in connection with these terms.
